Bylaws — Quick Reference
The bylaws comprise seven articles. Below is a summary; download the full document above for the authoritative text.
- Meetings of Members — Annual general meeting each calendar year (typically June, in Calgary or as designated). Notice is provided at least four weeks in advance for AGMs and five days for special meetings. Quorum is 40% for general business and 50% for financial matters. Members may be represented by proxy.
- Board of Directors — Minimum 5, maximum 9 directors. Two-year terms, elected by majority at the AGM. Annual director membership fee of $50 CAD. Directors must disclose conflicts; removal requires 75% in attendance.
- Officers — President, Vice-President, Treasurer, Secretary, and Past Board Chair / Advisor. Officers are elected by the Board every two years.
- Corporate Seal & Instruments — A corporate seal is required for instruments affecting real property. Other instruments may be signed by the President or designated officers.
- Amendment of Bylaws — May be amended at any regular or special meeting by a majority of a quorum, with at least 14 days' prior notice.
- Indemnification — Officers and directors are indemnified to the fullest extent permitted by law, except in cases of gross negligence, fraud, or criminal activity.
- Dissolution — Requires a 2/3 absolute majority of members at a special meeting. Remaining assets must be transferred to a similar charitable and educational organization.

Annual Reports & Financials
Reviewed at the Annual General Meeting and made available afterwards. Reports are forthcoming as the Society completes its first full reporting cycle.
